Eligibility Requirements:

Official Rules for Pure Leaf “No” Grants Contest

No payment is required. Accessible to all legal residents of the 50 United States and the District of Columbia, aged 18 or above (19 or above in Alabama and Nebraska) at the time of entry, identifying as a mother.

Contest Period:

The “No” Grants Contest, commencing at 7:00 a.m. Eastern Time (“ET”) on May 9, 2023, and concluding at 11:59 p.m. ET on October 31, 2023, encompasses three distinct entry periods (each an “Entry Period”) outlined as follows: Entry Period 1 runs from 7:00 a.m. ET on May 9, 2023, to 11:59 p.m. ET on June 30, 2023; Entry Period 2 starts at 12:00 a.m. ET on July 1, 2023, and concludes at 11:59 p.m. ET on August 31, 2023; and Entry Period 3 begins at 12:00 a.m. ET on September 1, 2023, and ends at 11:59 p.m. ET on October 31, 2023.

Eligibility:

Open to all legal residents of the 50 United States and the District of Columbia, aged 18 or older (19 or older in Alabama and Nebraska) who identify as a mother as of the date of entry. Officers, directors, and employees of PepsiCo, Inc., Pepsi-Cola Company (“Sponsor”), Daniel J. Edelman, Inc., SeekHer Foundation, and each of their respective affiliates, parents, subsidiaries, divisions, suppliers, distributors, and advertising, promotional, and judging agencies (collectively referred to as the “Released Parties”), as well as their respective shareholders, directors, officers, members, and agents, and their immediate family members (spouses, parents, children, siblings, and their spouses), and those living in the same household of each, are not eligible to participate or win. Void where prohibited by law and subject to all federal, state, and local laws.

To Enter:

1. Go to www.PureLeaf.com/NoGrants (the “Site”) within the Contest Period.

2. Follow the provided instructions to complete the registration form on the Site.

3. Answer the following questions in the registration form:

a. Share the most challenging aspect of motherhood and/or being a working mom for you to say ‘no’ to (Minimum 50 words, up to 200 words).

b. Describe how receiving a Pure Leaf ‘No’ Grant will assist you in saying ‘no’ (Minimum 50 words, up to 200 words).

c. If granted a Pure Leaf ‘No’ Grant, specify what you will say YES to (Minimum 50 words, up to 200 words).

d. Explain the personal significance of Pure Leaf’s message, “No Is Beautiful” (Minimum 50 words, up to 200 words).

4. Your completion of these steps, meeting the defined “Entry Requirements” below, will earn you one (1) Entry for the corresponding Entry Period.

5. Entries do not carry over to subsequent Entry Periods, if any.

6. Each Entrant is restricted to one (1) Entry per Entry Period.

7. All Entries submitted by the same Entrant in the Contest must be unique.

8. If an Entrant is chosen as a winner in any Entry Period, they are ineligible to win a prize in any future Entry Periods in this Contest, if any.

9. Entries must be composed in English.

10. Ensure that all Entries are received by the conclusion of the relevant Entry Period.

11. Normal Internet/phone access and data/usage charges from the Entrant’s online service will apply.

Entry Requirements:

1. The submitted Entry must be an authentic and unpublished creation by the entering participant.

2. The Entry should not showcase or emphasize any copyrighted content, logos, or trademarks belonging to third parties.

3. The Entry must avoid content that the Sponsor considers obscene, pornographic, defamatory, or otherwise objectionable.

Random Drawings/Grand Prize Winner Determination:

Random Drawings: Around July 5, 2023 (for Entry Period 1), September 5, 2023 (for Entry Period 2), and November 3, 2023 (for Entry Period 3), an impartial judging organization will randomly pick five hundred (500) Entries per Entry Period (1,500 in total) from all qualifying Entries received during each Entry Period. The likelihood of being selected in the random drawing is contingent on the overall number of eligible Entries received in each Entry Period.

Grand Prize Winner Determination:

The five hundred (500) Entries chosen in each Entry Period’s random drawing will undergo evaluation by a panel of judges, selected by representatives of the Released Parties (“Judges”) around August 11, 2023 (for Entry Period 1); October 13, 2023 (for Entry Period 2); and December 15, 2023 (for Entry Period 3).

The Judges will select two hundred (200) Grand Prize winners [seventy (70) from Entry Period 1, sixty-five (65) from Entry Period 2, and sixty-five (65) from Entry Period 3] based on the following criteria:

(i) Entrant’s personal sense of understanding of what ‘doing it all’ means (34%).

(ii) Demonstration of awareness of the significance of the grant beyond monetary value and their likelihood to continue advocating for their ‘no’ (33%).

(iii) Reflection of how the grant will genuinely help them say ‘no’ and reclaim their time (33%).

This set of criteria is collectively known as the Judging Criteria. In case of ties, the score for “Did the Entrant share a response that was truly reflective of how the grant will help them say ‘no’ and reclaim their time?” will be the sole tiebreaker. Judges’ decisions are final and not subject to appeal, and participants agree to abide by the Official Rules and decisions of the Judges.

Grand Prize:

There are two hundred (200) Grand Prizes available [seventy (70) from Entry Period 1; sixty-five (65) from Entry Period 2; and sixty-five (65) from Entry Period 3]. Each Grand Prize comprises a single payment (awarded in the form of a check) of two thousand dollars ($2,000.00).

This grant serves as additional financial support to assist the Grand Prize winners in confidently saying “no” to the expectations of “doing it all” (“prize,” “grant,” or “No Grant”).

No prize substitution will be allowed, except the Sponsor reserves the right in its sole discretion to substitute a prize of comparable value if any portion of the listed prize is unavailable, either in whole or in part, for any reason. Limit one (1) Grand Prize per person/household during the Contest Period.

The Sponsor provides no warranties and expressly disclaims any warranties concerning any prize furnished in connection with the Contest.

WITHOUT LIMITING THE GENERALITY OF THE PRECEDING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

General Prize Conditions:

The Grand Prizes will only be awarded if each potential Grand Prize winner fully complies with these Official Rules. All aspects of the Grand Prize are non-assignable and non-transferable.

The depiction of the Grand Prize in point-of-sale, online, television, print advertising, promotional packaging, and other Contest materials is for illustrative purposes only. Grand Prize winners are solely responsible for all federal, state, and/or local taxes, the reporting consequences thereof, and any other fees or costs associated with the applicable prize. At its sole discretion, the Sponsor reserves the right to deduct or withhold the amount of applicable tax on any cash or cash equivalent prize.

The Sponsor will issue an IRS Form 1099 or equivalent tax withholding documentation for the retail value of the prize in accordance with IRS requirements. Additionally, the Sponsor may share such documentation with state or local government agencies as required by law. Failure of the prize winner to meet necessary tax, withholding, or other compliance requirements, as determined by the Sponsor in its sole discretion, may result in forfeiture of the Grand Prize. In such cases, an alternate potential Grand Prize winner may be determined in accordance with these Official Rules. The Sponsor will award the Grand Prizes subject to any applicable withholding taxes.

Potential Grand Prize winners are required to execute a Declaration of Eligibility, a Liability Release, and (where legal) a Publicity Release and Assignment of Rights (“Prize Claim Documents”). Failure to sign and return these documents within forty-eight (48) hours may result in disqualification, and an alternate winner may be determined. Grand Prize winners must agree to provide additional photos and/or information as part of the eligibility process, and by doing so, they acknowledge that Sponsor may use or post those materials as they see fit.

Return of prize notification email or Prize Claim Documents as undeliverable, or if the winner does not meet eligibility requirements, may lead to disqualification, and an alternate Grand Prize winner may be determined.

The Sponsor provides no warranties, expressly disclaiming any warranties, concerning any prize furnished in connection with the Contest.

Moms Grant

General Rules:

Winners, Entrants, and guests, as a condition of entry into the Contest and/or use of the prize, agree to release the Released Parties from any liability, claims, or actions for injuries, damages, or losses to persons or property in connection with creating or submitting an Entry, or participating in any aspect of the Contest, the receipt, ownership, or use of the awarded prizes, or any typographical or other error in these Official Rules or the announcement or offering of the prizes. Acceptance of the prize constitutes permission to use the Entrant’s name, likeness, and Entry (as applicable) for promotional purposes without further compensation, except where prohibited by law.

Entrants agree to be bound by these Official Rules and the Judges’ decisions by participating in the Contest. The Released Parties are not responsible for technical malfunctions, lost network connections, electronic communications delays, or any liability for damage to computer systems resulting from participation in or accessing information related to the Contest. The Sponsor reserves the right to disqualify individuals who tamper with the entry process, violate the Official Rules, or act unsportsmanlike or disruptive.

The Sponsor may seek damages from any person attempting to undermine the legitimate operation of the Contest to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

In the event of a dispute regarding the identity of an Entrant, the authorized account holder of the email address used to enter will be deemed the Entrant. The Sponsor reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its sole discretion, that technical issues, fraud, or other causes beyond its control have compromised its integrity, administration, security, or feasibility.

If the Contest is terminated, the Sponsor will judge the Entries from eligible Entries selected in the random drawings to determine the winners for each Entry Period. Sponsor may determine the winners from all eligible, non-suspect Entries received for each Entry Period as of the termination date based on judging criteria. Only the type and quantity of prize described in these Official Rules will be awarded.

These Official Rules cannot be modified or amended except in a written document issued by a duly authorized representative of the Sponsor. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision. Entrants agree that under no circumstance will they be permitted to obtain awards for punitive, incidental, consequential damages, other than for out-of-pocket expenses; all causes of action shall be resolved individually, without resort to any form of class action; and any claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees.

Rights in Entries:

In exchange for valuable consideration, each entrant irrevocably grants the Released Parties, their successors, licensees, and assigns a non-exclusive license (but not the obligation) to reproduce, publicly perform, publicly display, stream, exploit, create derivative works of, and otherwise use the Entry, in whole or in part, for any purpose, including commercial purposes, in any media now or hereafter devised throughout the universe perpetually. At their sole discretion, the Released Parties reserve the right to edit, composite, morph, scan, duplicate, or alter the Entry for any purpose they deem necessary or desirable. Each entrant irrevocably waives any so-called “moral rights” they may have in the Entry. The Released Parties will retain the granted rights even if the Entry is disqualified, fails to meet the Entry Requirements, or is determined that the entrant who made the Entry is ineligible to enter the Contest.

Representations and Warranties/Indemnification:

Each Entrant represents and warrants that (i) the Entry does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; (ii) the Entry meets the Entry Requirements, does not and will not violate any applicable laws, and is not and will not be defamatory or libelous. Each Entrant agrees to indemnify the Released Parties and hold them harmless from any third-party claims, liability, judgments, losses, damages, costs, and expenses, including penalties, interest, and reasonable outside attorney’s fees and costs in the defense and disposition of such matters. This indemnification applies to claims arising out of, resulting from, based upon, or incurred because of a breach or allegation that, if true, would constitute a breach by Entrant of their representations, warranties, covenants, or obligations under these Official Rules, including any action or statement made by Entrant while participating in the Contest.

Publicity Release:

Upon acceptance of the prize, winners grant permission for the Contest Entities to use their Entry (if applicable), name, social media handle, photograph, likeness, voice, biographical information, statements, and address (city and state) for advertising, marketing, promotional, and/or publicity purposes related to the Contest, Released Parties, and all permitted uses of the Entry. This permission extends worldwide and across all forms of media, known or hereafter developed, in perpetuity, without further obligation, notice, or compensation.
